General Terms and Conditions
1. General Principles / Scope of Application
1.1. The following “General Terms and Conditions” (hereinafter “Terms”) apply to all legal transactions between the consulting firm reeched. GmbH, Kirchberg 55, 53179 Bonn (hereinafter “reeched”) and its clients, unless otherwise agreed between the parties. The version in effect at the time the contract is concluded shall govern.
1.2. These Terms also apply to all future contractual relationships, even where supplementary contracts do not expressly refer to them.
1.3. Conflicting purchasing, order, or other general terms and conditions of the client shall not apply, even if reeched does not expressly object to them again after the client has referred to them. In such a case, these Terms alone remain decisive if reeched performs the service for the client in accordance with the provisions of the order.
1.4. These Terms apply exclusively to businesses within the meaning of Section 310(1) of the German Civil Code (BGB).
2. Scope and Performance of the Order, Placing of Orders
2.1. A contract (order) comes into existence only upon our order confirmation in text form or upon performance of the order. Preceding declarations by the client, in particular letters of confirmation, constitute merely an offer to conclude a contract. reeched may accept such offers within 2 weeks.
2.2. The content and scope of a specific consulting engagement are agreed contractually in each individual case.
2.3. reeched performs all work with the necessary care, always with reference to the client’s individual situation and needs, and in accordance with the arrangements set out in the order.
2.4. reeched undertakes to report to the client, at the client’s request, in writing or orally on the status and progress of its work.
2.5. reeched is not bound by instructions in performing the order, acts at its own discretion and on its own responsibility. reeched is not bound to any particular place of work or working hours.
2.6. reeched is entitled to have the tasks incumbent upon it performed in whole or in part by third parties, unless this is expressly excluded in the order. The engagement and payment of the third party is carried out exclusively by reeched itself. No direct contractual relationship of any kind arises between the third party and the client.
3. The Client’s Duty to Provide Information
3.1. The client shall ensure that the organisational conditions at its place of business allow work on the order to proceed as undisturbed as possible and in a manner conducive to the rapid progress of the process. Without being specifically requested to do so, the client shall submit in good time all documents necessary for the fulfilment and performance of the order and shall inform reeched of all processes and circumstances material to the performance of the order.
3.2. The client shall inform reeched comprehensively about previously conducted and/or ongoing consulting work and its own entrepreneurial developments, and shall submit any relevant documents, insofar as these could affect the performance of the order.
4. Protection of Intellectual Property
4.1. The copyright in the work results produced by reeched and its employees and commissioned third parties (in particular analyses, reports on findings, recommendations for action, organisational plans, etc.) remains with reeched.
4.2. The work results may be used by the client during and after the end of the contractual relationship exclusively for the purposes covered by the contract. The client is not entitled to reproduce and/or distribute the work results or pass them on to third parties without the express consent of reeched; this includes affiliated companies. Under no circumstances does unauthorised reproduction, distribution or transfer of the work results give rise to any liability of reeched towards third parties.
4.3. A breach of these provisions by the client entitles reeched to terminate the contractual relationship immediately and prematurely and to assert other statutory claims, in particular for injunctive relief and/or damages.
5. Warranty
5.1. Irrespective of fault, reeched is entitled and obliged to remedy any inaccuracies and defects in its work that come to light. It is obliged to inform the client of these without delay.
5.2. Where reeched hands over or otherwise makes available individual results or individual activities within the scope of an order, or the final result upon completion of the order, the client is under an obligation to review these within a period of 14 days and to raise any objections. If the client fails to do so, subsequent warranty claims in respect of such results or activities are excluded.
5.3. The client is entitled to have defects remedied insofar as reeched is responsible for them. This claim of the client lapses six months after the respective service has been rendered, with the exception of intentional conduct and claims arising from it.
5.4. reeched warrants that it will render all services in accordance with the arrangements made with the client and with these Terms, but with regard to the factual accuracy, completeness and quality of its work it depends on the client’s cooperation. The client alone is responsible for the source data, in particular with regard to all figures and other (above all forward‑looking) economic inputs (e.g. text documents, calculations, business plans); reeched is obliged only to check the plausibility of the client’s source data.
6. Liability / Damages
6.1. reeched is liable to the client for damages only in the case of gross fault (intent or gross negligence). This applies accordingly to damage attributable to third parties engaged by reeched.
6.2. Insofar as there is no intentional breach of contract, liability for damages is limited to the foreseeable damage typical of the contract.
6.3. reeched is liable in accordance with statutory provisions where it culpably breaches a material contractual obligation; in that case liability for damages is limited to the foreseeable damage typical of the contract.
6.4. Liability for culpable injury to life, body or health remains unaffected. Mandatory liability under the German Product Liability Act likewise remains unaffected.
6.5. Claims for damages by the client may be asserted in court only within six months of becoming aware of the damage and the party causing it, and at the latest within three years of the event giving rise to the claim.
6.6. Insofar as reeched performs the order with the assistance of third parties and warranty and/or liability claims against those third parties arise in this connection, reeched assigns these claims to the client. In such a case the client shall first have recourse to the third party.
6.7. Any liability for damages going beyond that provided for in this clause 6 is excluded, irrespective of the legal nature of the claim asserted. This applies in particular to claims for damages arising in tort, from fault in contract negotiations, or from a demand by the client for compensation for futile expenditure. Insofar as liability is excluded, this also applies with regard to the liability of our employees, representatives or vicarious agents.
7. Confidentiality / Data Protection
7.1. The contracting parties, their employees and any third parties engaged are obliged, without limitation in time, to maintain silence on all matters that come to their knowledge in connection with the performance of the order.
7.2. Disclosure to third parties not involved in the performance of the order may take place only with the written consent of the other party.
7.3. reeched is entitled to process personal data entrusted to it within the scope of the purpose of the contractual relationship, or to have it processed by third parties. The client warrants to reeched that all necessary measures for this purpose, in particular those required under data protection law, such as declarations of consent by the data subjects, have been taken.
7.4. In all other respects the parties shall comply with the German Federal Data Protection Act (BDSG) and the General Data Protection Regulation (GDPR). This includes technical security measures reflecting the current state of the art (Art. 32 GDPR) and the obligation of employees to maintain data secrecy (Art. 28(3)(b) GDPR). Accordingly, it is prohibited to process, disclose, make accessible or otherwise use protected personal data without authorisation for any purpose other than that belonging to the lawful performance of the respective task. reeched and all persons entrusted by reeched with these tasks are aware that breaches are subject to penalty.
8. Fees
8.1. The amount of the fee is governed by the written or oral agreement between the client and reeched.
8.2. reeched is entitled to issue interim invoices in line with the progress of the work.
8.3. The fee falls due upon invoicing by reeched and is payable immediately without deduction.
8.4. In the event of non‑payment of interim or final invoices, reeched is released from the obligation to render further services. The intention to cease work must be notified to the client in good time. This does not affect the assertion of further claims arising from the non‑payment.
8.5. reeched is entitled to send invoices to the client in electronic form. The client expressly agrees to receive invoices from reeched in electronic form.
9. Termination
9.1. The client may terminate the contractual relationship by ordinary notice of 6 weeks to the end of the month. Until the termination takes effect, reeched shall be given the opportunity to render the commissioned services properly. In the case of a commissioned quota, reeched has the right to render the previous average weekly quota to the client.
9.2. The right to extraordinary termination remains unaffected for both parties.
9.3. In the event of termination by the client, reeched is entitled, in addition to remuneration for services already rendered, to demand a lump‑sum settlement for commissioned services or hourly quotas amounting to 15% of the services not yet rendered or of the hourly quotas not called off by the client. The client remains free to demonstrate that reeched incurred no expenses, or substantially lower expenses, as a result of the client’s termination.
10. Final Provisions
10.1. German law applies exclusively to all claims arising from the contract, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
10.2. The exclusive place of jurisdiction for all disputes arising from or in connection with a contract subject to these General Terms and Conditions is Bonn. reeched is also entitled to bring proceedings at the client’s registered office.
